Terms of Service

1. Acceptance of Terms

By accessing and using the PointUp mobile application ("Service", "App", or "PointUp"), you accept and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, please do not use this Service.

These Terms constitute a legally binding agreement between you and Codeflow Dynamics Limited ("Company", "we", "us", or "our").

2. Description of Service

PointUp is a family task management application that allows families to create, assign, and track quests and tasks among family members. The service includes features for reward management, progress tracking, and family communication.

3. User Accounts and Responsibilities

Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activities that occur under your account

User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Transmit harmful or malicious content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Create false or misleading content
• Harass, abuse, or harm other users

4. Family Accounts and Child Safety

PointUp is designed for family use and may include accounts for children under 13:

• Parents or guardians are responsible for supervising their children's use of the Service
• Parents must provide consent for their children to use the Service
• Parents have control over their children's accounts and can modify or delete them
• We implement appropriate safeguards to protect children's privacy and safety

5. Content and Intellectual Property

User Content

You retain ownership of content you create and share through the Service. By using the Service, you grant us a limited license to use, store, and display your content as necessary to provide the Service.

Our Content

The Service and its original content, features, and functionality are owned by PointUp and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

7. Third-Party Services

PointUp offers optional integration with third-party services including Google Calendar and Google Tasks. By connecting these services:

• You authorize PointUp to access your Google account as described in our Privacy Policy
• You agree to comply with Google's Terms of Service when using these integrations
• You can disconnect these services at any time from the app settings
• Our use of Google user data is governed by our Privacy Policy and complies with Google's API Services User Data Policy, including the Limited Use requirements

8. Service Availability and Modifications

We strive to provide reliable service, but we cannot guarantee uninterrupted access. We may:

• Modify, suspend, or discontinue the Service at any time
• Perform maintenance that may temporarily interrupt service
• Update features and functionality
• Remove or restrict access to content or features

9. Prohibited Uses

You may not use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

You may also terminate your account at any time by contacting us or using the account deletion features in the Service.

11. Disclaimers and Limitation of Liability

Service Disclaimer

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, PointUp excludes all representations, warranties, conditions and terms relating to our Service and the use of this Service.

Limitation of Liability

In no event shall PointUp, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

12. Indemnification

You agree to defend, indemnify, and hold harmless PointUp and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

13. Subscription and Billing

PointUp offers both free and premium subscription tiers ("Pro" features):

• Subscriptions are billed through your app store account (Apple App Store or Google Play Store)
• Subscription fees are non-refundable except as required by law
• You may cancel your subscription at any time through your app store settings
• Cancellation takes effect at the end of your current billing period
• We reserve the right to modify subscription pricing with advance notice

14. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of Scotland, United Kingdom, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Scotland.

For users in the United States, these Terms shall also comply with applicable U.S. federal and state laws, including COPPA (Children's Online Privacy Protection Act) for children under 13.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Material changes will be communicated through:

• In-app notification
• Email notification to your registered email address
• Update to the "Last updated" date on this page

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Codeflow Dynamics Limited regarding the use of the Service and supersede all prior agreements and understandings.
